Commercial License Agreement

1. Parties
This Commercial License Agreement (“Agreement”) is entered into between Capital of Mystery (“Licensor”) and the individual or legal entity that purchases, downloads, or otherwise lawfully acquires the digital party kit titled “Shootout & Sassafras – A Frontier Saloon Whodunit” (“Licensee”).

2. Definitions
“Product” means all PDFs, text, graphics, images, prompts, scripts, and supplementary files provided in the kit.

“Commercial Event” means any ticketed, paid-entry, corporate, fundraising, or client-facing function at which the Product is performed or used.

“Print Copy” means one complete physical set of all player-facing and host-facing materials.

3. Grant of License
Licensor grants Licensee a non-exclusive, non-transferable, and revocable license to:

Download, store, and print up to ten (10) Print Copies of the Product for each unique commercial event hosted by Licensee.

Perform and display the contents of the Product in person at Commercial Events anywhere in the world.

Charge admission or collect fees from participants attending such Commercial Events.

All rights not expressly granted remain with Licensor.

4. Restrictions
Licensee shall not:

Sell, sublicense, gift, upload, or distribute the digital Product files in whole or in part.

Sell or distribute printed components as stand-alone merchandise (e.g., evidence photos, posters) without separate written permission.

Alter or remove copyright notices, branding, or credits.

Create derivative works for publication or sale (e.g., sequels, novelizations) without written approval.

Host, stream, or broadcast the full gameplay online in a manner that replaces the need to purchase the Product.

5. Attribution
When marketing or publicly describing events that use the Product, Licensee must credit the kit as:

“Shootout & Sassafras – A Frontier Saloon Whodunit, © [year] Capital of Mystery. Used under commercial license.”

6. Term & Termination
The Agreement commences on the purchase date and continues indefinitely unless terminated.

Licensor may terminate the license immediately upon written notice if Licensee breaches any clause. Upon termination, Licensee must delete all digital copies and cease further commercial use.

7. Updates
Any free or paid updates that Licensor releases for the Product will be subject to this Agreement unless accompanied by a superseding license.

8. Intellectual Property
The Product and all associated intellectual property rights are owned by Licensor and are protected by copyright and other laws. No ownership interest is transferred to Licensee.

9. Warranty Disclaimer
The Product is provided “as is.” Licensor disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability
To the maximum extent permitted by law, Licensor is not liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use the Product, even if advised of the possibility.

11. Indemnification
Licensee agrees to indemnify and hold harmless Licensor from any claims, damages, or expenses (including attorneys’ fees) arising from Licensee’s commercial use of the Product or breach of this Agreement.

12. Entire Agreement
This document constitutes the entire agreement between the parties concerning the Product and supersedes all prior understandings. Any amendment must be in writing and signed by both parties.
