COMMERCIAL LICENSE AGREEMENT
1. Parties
This Agreement (“Agreement”) is between Capital of Mystery, LLC (“Licensor”) and the purchaser or recipient of the downloadable files (“Licensee”). By purchasing, downloading, or using the Game Kit, Licensee agrees to all terms herein.
2. Definitions
Game Kit – All PDF files, text, artwork, images, and ancillary materials provided under the title Feast of Shadows – A Medieval Castle Banquet Whodunit.
Commercial Event – Any event for which the host or organiser receives monetary or in-kind compensation (ticket sales, client fees, corporate entertainment budgets, etc.).
Derived Materials – Any adaptation, excerpt, translation, or modification of the Game Kit.
3. Grant of License
Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to:
Print unlimited physical copies of the Game Kit for personal, client-facing, or ticketed events.
Host unlimited Commercial Events using the Game Kit, including charging admission or facilitation fees.
Display excerpts (up to 300 words or four images) in marketing material to promote those events.
4. Restrictions
Licensee may not:
Resell, share, or distribute the raw digital files, in whole or in part, outside the Licensed Events.
Publish the Game Kit (print-on-demand, mass-market retail, crowdfunding, or online marketplace resale).
Create Derived Materials for sale or free distribution without prior written consent.
Remove or alter any copyright, trademark, or attribution notices.
5. Ownership & Attribution
The Game Kit remains the exclusive intellectual property of Licensor. Licensee must include the following notice on all public-facing materials:
“Game design © 2025 Capital of Mystery, LLC. Used under license.”
6. Updates
Licensor may issue revisions or errata. Licensed rights automatically extend to such updates when supplied.
7. Term & Termination
This license is perpetual unless terminated. Licensor may terminate immediately if Licensee breaches Section 4. Upon termination, Licensee must destroy all digital copies and cease new Commercial Events.
8. Warranty & Liability
The Game Kit is provided “as is.” Licensor disclaims all warranties, express or implied. Licensor’s total liability under this Agreement shall not exceed the amount paid for the license. In no event shall Licensor be liable for consequential or incidental damages.
9. Indemnification
Licensee agrees to indemnify and hold harmless Licensor against any third-party claims arising from Licensee’s misuse of the Game Kit or violation of this Agreement.
10. Entire Agreement
This document constitutes the entire agreement between the parties regarding the Game Kit and supersedes all prior understandings. Amendments must be in writing and signed by both parties.
